Lodging Complaints: Understanding ACRA’s Scope and Limitations
Understanding ACRA’s jurisdiction ensures that complaints are directed to the right authority, minimizing delays in investigations and resolutions.

The Accounting and Corporate Regulatory Authority (ACRA) plays a key role in maintaining the integrity of Singapore’s business ecosystem. While ACRA addresses specific regulatory and compliance issues, certain complaints and investigations fall outside its purview.

For such cases, the relevant authorities, such as the Police or the Commercial Affairs Department (CAD), take the lead.

Complaints Not Within ACRA’s Purview

ACRA focuses on regulatory breaches directly related to corporate and business laws under its jurisdiction. However, certain complaints require intervention from other enforcement agencies. Here are examples of such complaints:

  1. Forgery of SignaturesForgery is a criminal offense involving the falsification of signatures on legal or financial documents. Such cases are handled by the Police or the Commercial Affairs Department (CAD).

  2. FraudInstances of financial fraud, embezzlement, or deceptive practices are beyond ACRA’s scope. These complaints should be directed to CAD for investigation.

  3. Disqualified Officers Managing CompaniesComplaints about disqualified individuals continuing to manage companies or Limited Liability Partnerships (LLPs) are criminal matters handled by the Police or CAD.

  4. Internal Disputes Among Directors or ShareholdersConflicts within companies, such as disputes over decision-making or financial management, are typically resolved through private mediation, arbitration, or legal proceedings, rather than through ACRA.

Handling Complaints Forwarded to the Police or CAD

When complaints involving these issues are submitted to ACRA, the authority ensures they are redirected to the appropriate agency. Any supporting documents provided will also be forwarded to the Police or CAD to facilitate the investigation.

What Complainants Need to Know

  • Gather Evidence: Collect detailed documentation to support your complaint, such as emails, contracts, or transaction records.

  • File with the Correct Authority: Lodge your complaint directly with the Police or CAD to expedite the process.

  • Seek Professional Advice: For complex cases, consult legal or corporate advisory firms to understand your options and strengthen your case.

Why This Matters

Understanding ACRA’s jurisdiction ensures that complaints are directed to the right authority, minimizing delays in investigations and resolutions. This division of responsibilities maintains efficiency and integrity within Singapore’s business and legal systems.
